Studio55 Inspirational Internet Solutions – Web Development Services

These Terms and Conditions (“Agreement”) govern the provision of services by Studio55 Inspirational Internet Solutions (“Company,” “Studio55,” “we,” “our,” or “us”) to any client (“Client,” “you,” or “your”).

By engaging our services or paying a deposit, you confirm that you have read, understood, and agreed to these Terms and Conditions.

1. Services Provided
Studio55 provides digital and web-related services including, but not limited to:

2. Client Responsibilities
2.1 Provision of Information
The Client agrees to provide all required content, materials, approvals, and access credentials promptly and accurately. Failure to do so may result in delays, rescheduling, or additional charges.
2.2 Accuracy and Legal Compliance
The Client is solely responsible for ensuring that all supplied materials and instructions comply with applicable laws, regulations, and third-party terms, including data protection, consumer law, and intellectual property rights.
3. Project Timelines and Delays
All project timelines are estimates based on the agreed scope of work.
Studio55 shall not be liable for delays caused by:
Projects delayed due to Client inactivity may be paused and rescheduled around existing bookings. Additional fees may apply.
4. Payment Terms
4.1 Fees
All fees are outlined in writing and must be agreed before work begins.
4.2 Payment Schedule
Payments may be required upfront, at milestones, or upon completion, as specified in the proposal or invoice.
4.3 Late Payments
Late or overdue payments may result in interest charges, suspension of work, or restricted access to services or websites. Outstanding balances remain payable even if project completion is delayed due to Client inactivity.
4.4 Additional Costs
The Client is responsible for all third-party costs. Changes to the agreed scope may incur additional charges.
5. Intellectual Property
5.1 Ownership
Upon full payment, ownership of the completed website and agreed deliverables transfers to the Client.
Studio55 retains the right to reuse non-exclusive code, techniques, and design elements and to display completed projects for portfolio and promotional purposes.
The Client retains ownership of all original content they provide.
6. Website Content and Copyright Responsibility
All website content supplied by the Client — including text, images, graphics, videos, audio, logos, and downloads — is deemed approved for use.
The Client warrants that:

The Client accepts full legal responsibility for all content published and agrees to indemnify and hold harmless Studio55 from any claims or losses arising from Client-supplied content.
7. Data Protection and GDPR Compliance
7.1 Data Processing
Studio55 will process personal data only to the extent necessary to perform the agreed services and in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
7.2 Client Responsibilities
Where the Client supplies personal data (including customer, user, or employee data), the Client confirms that:

Studio55 shall not be responsible for the Client’s compliance obligations as Data Controller.
7.4 Security
Studio55 will take reasonable technical and organisational measures to protect personal data but does not guarantee absolute security.
7.5 Third-Party Services
Where third-party platforms (e.g. hosting providers, email services, analytics tools) are used, Studio55 is not responsible for their data handling practices.
8. Confidentiality
Both parties agree to keep confidential all proprietary or sensitive information disclosed during the project, except where disclosure is required by law or necessary to provide the services.
9. Limitation of Liability
Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

A 14-day warranty period applies from delivery, covering bug fixes and minor corrections only.
After this period, support is chargeable or available via a maintenance agreement.
Studio55 does not guarantee that the website will be error-free, uninterrupted, or suitable for all future Client needs.
11. Termination
Either party may terminate this Agreement in writing.
Upon termination:
Studio55 may terminate immediately for non-payment, breach of terms, or unlawful or unethical conduct.
12. Changes to These Terms
Studio55 may update these Terms from time to time. Updated terms apply once published or communicated to the Client.
13. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of Northern Ireland, and the courts of Northern Ireland shall have exclusive jurisdiction.
14. Dispute Resolution
The parties agree to attempt mediation before commencing legal proceedings.

The Client agrees to indemnify and hold harmless Studio55 from all claims, losses, damages, and expenses arising from:

Studio55 shall not be liable for failure or delay due to events beyond reasonable control, including acts of nature, government actions, or third-party failures.
17. Consumer and Business Clients
Where the Client is a consumer, nothing in this Agreement affects statutory rights under the Consumer Rights Act 2015.
Where the Client is acting in the course of business, all services are provided on a business-to-business basis and subject to these Terms.
18. Acceptance of Terms
Engaging Studio55’s services or paying a deposit constitutes acceptance of these Terms and Conditions, effective from the date payment is received.
